Terms of Service

This Agreement ("Agreement") is entered into between Withpare LLC. ("Company") and you ("Practitioner") for the provision of telehealth services through the Company’s platform. By participating in the Company’s services, you agree to the following terms:

1. Scope of Services

  • Practitioner will provide remote traditional medicine consultations and care via the Company’s platform, in accordance with applicable state licensure and legal guidelines.
  • Practitioner is responsible for all medical decisions and patient safety.

2. Practitioner Responsibilities

  • Maintain an active license in the state(s) where patients are located.
  • Ensure HIPAA-compliant handling of all patient health information.
  • Maintain accurate and updated medical records for each consultation.
  • Follow Company’s telehealth protocols, software usage guidelines, and response time standards.

3. Compensation

  • Company will compensate the Practitioner based on agreed-upon session fees or per-patient arrangements.
  • Payment is subject to submission of required documentation (e.g., session logs).
  • Practitioner shall provide tax identification (EIN or SSN) for tax reporting.

4. Independent Contractor Status

  • Practitioner shall act as an independent contractor and not as an employee of the Company.
  • Nothing in this Agreement shall be construed as establishing a partnership or employer-employee relationship.

5. Confidentiality & HIPAA Compliance

  • Practitioner agrees to strictly comply with HIPAA regulations and ensure all communications, recordings, and documents remain confidential.
  • Any breach must be immediately reported to the Company’s Privacy Officer.

6. Termination

  • Either party may terminate this agreement at any time with 14 days’ written notice.
  • Immediate termination may occur in the event of patient harm, license suspension, fraud, or breach of confidentiality.

7. Limitation of Liability

  • Company provides a platform and administrative support but does not practice medicine. The Practitioner is solely responsible for patient care.
  • The Company shall not be liable for clinical decisions made by the Practitioner.
